Terms of Service

These Terms of Service (“Terms”) govern your access to and use of this website and any services provided by Xperts Matrix Information Technology Network Service L.L.C. (“Xperts Matrix”). By using the website or engaging our services, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.

We provide technology consultancy, IT support, office setup, networking, security systems, software and digital services as described on this website. Website content is for general information and does not constitute an offer.

The specific scope, deliverables, timelines, service levels and fees for any engagement are set out in a quotation, proposal, statement of work or service agreement (“Order”). If an Order conflicts with these Terms, the Order prevails.

• Quotations are valid for 30 days unless stated otherwise and are subject to site surveys and stock availability.
• Prices are in UAE Dirhams (AED) and exclusive of VAT, which is charged at the applicable rate.
• Invoices are payable within the period stated on the invoice. We may suspend services for overdue amounts after written notice.
• Hardware and materials remain our property until paid in full.
• Recurring plans (such as XM Support) renew automatically unless cancelled in line with the Order.

• Provide timely access to premises, systems, accounts and personnel needed to perform the services.
• Ensure you hold valid licences for software you ask us to install or support.
• Maintain your own backups of data before any repair, migration or recovery work unless backup is part of the Order.
• Comply with our Acceptable Use Policy when using systems or services we provide.

Data recovery is performed on a best-effort basis; successful recovery cannot be guaranteed. Repairs may require replacement parts at additional cost, which we will confirm with you first. Equipment left uncollected for 90 days after notification may be disposed of in accordance with applicable law. Certified data erasure is provided only where specified in an Order.

We perform services with reasonable skill and care in line with industry practice. Hardware and third-party software are covered by their manufacturers' warranties, which we will help you claim where applicable. Except as expressly stated, the website and services are provided “as is” to the maximum extent permitted by UAE law.

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, revenue, data or goodwill. Our total liability arising from any Order is limited to the fees paid for the affected services in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under UAE law.

All website content, including the Xperts Matrix name, logo, text and design, is owned by or licensed to us and protected by UAE and international law. You may not copy, reproduce or reuse it without our written permission. Ownership of bespoke deliverables (such as custom software or websites) is defined in the relevant Order and transfers on full payment unless agreed otherwise.

Each party will keep the other's confidential information secret and use it only to perform the engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law.

Either party may terminate an Order as set out in that Order, or immediately on written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days. Fees for work performed up to termination remain payable.

You agree not to misuse the website, attempt unauthorised access, introduce malicious code or interfere with its operation. Links to third-party websites are provided for convenience; we are not responsible for their content.

Neither party is liable for delays caused by events beyond its reasonable control, including outages of utilities or ISPs, supply-chain disruption, natural events or government action.

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. The parties will first try to resolve disputes amicably; failing that, the courts of Dubai have exclusive jurisdiction.

We may update these Terms from time to time. Continued use of the website after changes take effect means you accept the updated Terms. Existing Orders remain governed by the Terms in force when they were signed unless agreed otherwise.
